Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Voiceter.ai, Inc., a Delaware corporation ("Voiceter.ai", "we", "us", or "our").
By creating an account, accessing, or using the Voiceter.ai platform, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated herein by reference.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Services.
Description of Services
Voiceter.ai provides an AI-powered voice survey platform for conducting automated telephone interviews at scale. The Services are offered in two modes:
Native Mode
Fully integrated platform including AI voice survey conductor, questionnaire design tools, target audience management, real-time monitoring, results analytics, and AI-powered insights.
Bridge Mode
Voice execution layer that integrates with third-party survey platforms (QuestionPro, Qualtrics, Alchemer). Voiceter.ai handles telephony and voice AI while the third-party platform handles questionnaire logic and data management.
Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years of age and capable of forming a binding contract under applicable law. The Services are intended for business and professional use only.
3.2 Account Registration
You must provide accurate, current, and complete information during registration and keep your account information updated. Voiceter.ai reserves the right to reject or revoke registrations at its discretion.
3.3 Account Security
You are responsible for maintaining the security of your account. You must:
- Use strong, unique passwords for your account
- Enable multi-factor authentication (MFA) — required for all accounts
- Notify us immediately at support@voiceter.ai if you suspect unauthorised access
- Not share your credentials with any third parties
You are responsible for all activity that occurs under your account.
3.4 Workspaces
Services are organised into Workspaces. The number of Workspaces available to you depends on your subscription plan. Account Owners are responsible for all actions taken by team members within their Workspaces.
Subscription Plans and Payment
4.1 Plans
We offer multiple subscription tiers, including a Free tier and paid plans with monthly or annual billing. Full details are available on our Pricing page, which is incorporated by reference. All plans include the same platform features; plans differ in included usage volume and the number of Workspaces.
4.2 Billing Cycle

4.3 Payment
Payments are processed by our PCI-DSS-certified third-party payment processor. All fees are in USD unless otherwise agreed in writing. International customers are responsible for any currency conversion fees and foreign transaction charges.
4.4 Taxes
All prices exclude applicable taxes (VAT, GST, sales tax, or similar). You are responsible for all taxes applicable in your jurisdiction. Where required by law, Voiceter.ai will collect and remit applicable taxes.
4.5 Failed Payments and Suspension
Failed payments will be retried automatically. After repeated failures, your account may be suspended with notice. Your Customer Content will be preserved for 30 days during suspension to allow you to resolve the payment issue.
4.6 Refunds
Monthly subscription fees are non-refundable except as required by applicable law. Prepaid credits are non-refundable after use. Unused credits may be refunded at our discretion within 14 days of purchase if no calls have been made.
4.7 Price Changes
We will provide a minimum of 30 days' written notice before any price changes take effect. Changes will apply at your next renewal date.
Acceptable Use Policy
5.1 Permitted Uses
You may use the Services for lawful, legitimate market research and survey purposes, including:
- Telephone-based market research surveys
- Customer satisfaction studies (CSAT, NPS)
- Academic and commercial research
- Employee engagement surveys via outbound calling
- Product feedback collection via telephone
5.2 Prohibited Uses
Illegal or Harmful Activities
- Violating any applicable laws or regulations
- Making calls that violate TCPA, KVKK, GDPR, or telemarketing laws
- Calling individuals on Do Not Call registries without a legal basis
- Harassment, threats, or abusive conduct toward respondents
- Fraud, deception, or misrepresentation of any kind
Prohibited Content
- Surveys designed to facilitate illegal discrimination
- Defamatory, obscene, or content violating third-party rights
- Political campaign communications without prior written approval from Voiceter.ai
- Surveys targeting individuals under 18 without appropriate parental consent
Technical Abuse
- Circumventing security features, rate limits, or access controls
- Reverse engineering or decompiling any part of the Services
- Building competing products using the Services
- Scraping, data mining, or automated extraction beyond API rate limits
- Introducing malware, viruses, or any malicious code
Misrepresentation
- Falsely implying the caller is human (all interviews must include AI disclosure)
- Impersonating Voiceter.ai or any other entity
5.3 Compliance Responsibilities
You are solely responsible for:
- Obtaining all necessary consents and legal bases to contact individuals
- Ensuring your call lists comply with all applicable DNC registry requirements
- Ensuring survey content and data use comply with applicable laws
- Lawfully collecting all uploaded personal data with appropriate consent
Intellectual Property
6.1 Voiceter.ai IP
Voiceter.ai owns all rights, title, and interest in and to the Services, including all software, AI models, algorithms, documentation, and branding. You receive only a limited, non-exclusive, non-transferable, revocable licence to use the Services during your subscription term, solely for the purposes described in these Terms.
6.2 Your Content
You retain ownership of all data, questionnaires, survey responses, and contact lists you upload to the platform ("Customer Content"). You grant Voiceter.ai a limited licence to host, store, process, and transmit Customer Content solely to provide the Services to you.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant Voiceter.ai a royalty-free, perpetual, irrevocable licence to use such feedback without restriction or compensation to you.
6.4 Aggregated Data
Voiceter.ai may use anonymised, aggregated, and de-identified data derived from your use of the Services to improve the platform and generate industry benchmarks. Such data will not identify you or any individual respondents.
Data Processing
7.1 Roles

7.2 Data Processing Agreement
A Data Processing Agreement (DPA) governs the processing of personal data for EU/EEA, UK, or Turkish data subjects. Contact privacy@voiceter.ai to request or review the DPA.
7.3 Your Data Controller Obligations
As Data Controller, you are responsible for:
- Ensuring the lawfulness of all personal data you upload to the platform
- Obtaining appropriate consent or legal basis for contacting respondents
- Responding to data subject rights requests relating to your surveys
- Compliance with all applicable data protection laws in your jurisdiction
7.4 Respondent Consent
You warrant that all respondents have been or will be informed that they may be contacted for market research by an AI voice system, and that appropriate consent or legal basis exists for each contact.
Confidentiality
Each party agrees to keep confidential all non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information").
Confidentiality obligations do not apply to information that:
- Was already publicly known at the time of disclosure
- Becomes publicly known through no breach of these Terms
- Was lawfully received from a third party without restriction
- Is required to be disclosed by law, regulation, or court order (with prompt notice to the other party where legally permitted)
Each party must protect the other's Confidential Information with at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care.
Compliance with Laws
9.1 Your Compliance Obligations
You must comply with all applicable laws and regulations, including but not limited to:
GDPR
General Data Protection Regulation (EU) 2016/679
KVKK
Turkish Personal Data Protection Law No. 6698
TCPA
Telephone Consumer Protection Act (US) and FCC regulations
UK GDPR & PECR
UK data protection and electronic communications regulations
You must also comply with all applicable telemarketing, Do Not Call, and electronic communications laws in every jurisdiction where you conduct surveys.
9.2 Call Time Windows
Calls must be conducted only within legally permitted hours. The platform default is 8:00 AM – 9:00 PM local time of the respondent. You are responsible for ensuring compliance with any stricter local restrictions in your target jurisdictions.
9.3 DNC List Compliance
The platform provides integrated Do Not Call (DNC) list checking. You must upload and maintain current DNC suppression lists for all jurisdictions where you operate. You are responsible for the currency and completeness of your DNC lists. Voiceter.ai is not liable for calls made to numbers that were on a DNC registry but not uploaded or enabled by you.
9.4 AI Disclosure
Warranties and Disclaimers
10.1 Your Warranties
You represent and warrant that:
- You have the legal authority to enter into these Terms
- Your use of the Services will comply with all applicable laws
- All data you upload was collected lawfully with appropriate consent
- You have obtained all necessary permissions to contact respondents
- Customer Content does not infringe any third-party intellectual property rights
10.2 Voiceter.ai Warranties
The Services will perform materially in accordance with the documentation under normal use and conditions. We will use commercially reasonable efforts to maintain 99.9% monthly uptime, excluding scheduled maintenance windows and events outside our reasonable control.
10.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 10.2, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". VOICETER.AI EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL DEFECTS WILL BE CORRECTED.
Limitation of Liability
11.1 Liability Cap
Voiceter.ai's total cumulative liability to you for all claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you to Voiceter.ai in the 12 months preceding the claim; or (b) $100 USD.
11.2 Exclusion of Consequential Damages
NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Essential Basis
The limitations of liability in this Section reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between the parties. Voiceter.ai would not provide the Services without these limitations.
11.4 Exceptions
Nothing in these Terms limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited by applicable law
Indemnification
You agree to defend, indemnify, and hold harmless Voiceter.ai, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Services in violation of these Terms
- Your violation of any applicable law, including TCPA, KVKK, GDPR, and telemarketing regulations
- Your Customer Content
- Claims by survey respondents arising from your survey campaigns
- Your infringement of any third-party intellectual property rights
- Claims by team members or end users to whom you have granted access to the Services
Suspension and Termination
13.1 Suspension by Voiceter.ai
We may suspend your account immediately, with or without notice, if:
- We suspect a violation of the Acceptable Use Policy
- We receive a credible legal complaint or regulatory inquiry related to your account
- Your payment method fails and is not resolved within the applicable cure period
- Your use poses a security, legal, or reputational risk to Voiceter.ai or others
13.2 Termination by You
You may terminate your subscription at any time via Settings → Account → Subscription. Termination is effective at the end of your current billing period. No refund will be issued for the remaining period.
13.3 Termination by Voiceter.ai
We may terminate these Terms for cause with 30 days' written notice for any material breach that is not cured within the notice period. We may terminate immediately for repeated Acceptable Use Policy violations or fraudulent activity.
13.4 Effect of Termination
Upon termination:
- Your access to the Services ceases immediately
- Customer Content is retained for 30 days to allow you to export your data
- After 30 days, Customer Content will be deleted (except as required by law)
- Prepaid credits are forfeited unless otherwise agreed in writing
- All outstanding fees become immediately due and payable
Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. EU/EEA and UK customers may also rely on the mandatory consumer protection laws of their country of residence. Nothing in these Terms limits the rights of Turkish customers under KVKK or applicable Turkish commercial law.
14.2 Informal Resolution
Before initiating any formal proceedings, the parties must attempt to resolve any dispute informally for at least 30 days by contacting us at hello@voiceter.ai.
14.3 Arbitration
If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in English in Wilmington, Delaware, USA. Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
14.4 Class Action Waiver
General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, DPA (where applicable), and any Order Forms or Statements of Work, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings.
15.2 Modifications
We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email and in-platform notification. Continued use of the Services after the effective date of changes constitutes your acceptance of the updated Terms.
15.3 Waiver and Severability
Failure by either party to enforce any provision of these Terms does not constitute a waiver of that provision. If any provision is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable; all remaining provisions continue in full force and effect.
15.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. Voiceter.ai may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets without your consent.
15.5 Force Majeure
Neither party shall be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, war, civil disturbance, terrorism, governmental actions, natural disasters, pandemics, or third-party infrastructure failures.
15.6 Notices
Legal notices to Voiceter.ai must be sent to hello@voiceter.ai or by post to our registered agent address in Delaware. Notices to you will be sent to the email address associated with your account.
15.7 Relationship of the Parties
The parties are independent contractors. Nothing in these Terms creates an employment, partnership, agency, franchise, or joint venture relationship between the parties.
